1. Introduction

HaulPack greets you! Please carefully review these Terms of Service (referred to as 'Terms' or 'Agreement'), as they outline the legal terms and conditions governing your use of the services provided by HaulPack ('we,' 'us,' or 'our') through our website, https://www.haulpack.com ('Platform').

Further, the words ‘Your’ or ‘You’ refers to the person or entity that creates an account, which includes, but is not limited to you. By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree, you must immediately cease using the Platform. As indicated in clause 13, we reserve the right to amend this agreement, if required, in future.

2. Our Service

HaulPack provides a Platform for content creators ('Creators') to curate collections of products hosted by various brands, share them on social media platforms, and earn affiliate income from purchases made through these curated collections.

You may also get in touch with us if you need more information or have any questions about our services. However, we do not endorse, control, or guarantee the products or services offered by third-party retailers or sellers.

3. Creating an Account on HaulPack

Creating an account on HaulPack is designed for Indian customers and collection earning in Indian National Rupees (INR). To open an account on haulpack.com, you must be an Indian resident and at least 18 years old. Per individual, only one account is permitted. By creating an account, you represent and warrant that all information provided is accurate, current, and complete.

To maintain security, changes to your account name and email address may require verification and approval. As a result, while registering for an account with HaulPack.com, you must enter only real, correct and up-to-date information. This data contains your name, email address, and other pertinent information. You are also responsible for keeping this information up to date in the event of a change. Because your email address is essential for us to communicate with you, you must make sure that you have full access to the email address you offer us.

4. Cancellation/Termination of HaulPack Account

HaulPack retains the right to cancel any account if any fraudulent, abusive, or unfair behavior is detected. Further, we reserve the right to suspend or terminate your account at our sole discretion if we determine that you have violated these Terms.

We reserve the right to terminate accounts that are deemed "inactive" in accordance with clause 14. Users can’t run any paid ads on any platforms including Facebook, Google or any other similar websites with HaulPack links. If a user is found doing paid promotion for HaulPack links, then it would result in termination of account. Upon termination, any pending earnings associated with fraudulent or unauthorized activity will be forfeited and it will be at our sole discretion.

If a user fails to furnish us with a genuine or functional email address, his or her membership will be cancelled. In addition, we have the right to refuse or deny membership to anybody.

5. Earning

As a HaulPack user, you may start earning when the person to whom you shared the collections, utilizes that collection to make a purchase. We, on the other hand, can only pay you on legitimate purchases from onboarded social media platforms such as Instagram, YouTube, Facebook, Pinterest that have been successfully monitored and certified by the brands. Once the transaction is successfully tracked, we receive the earnings, which are directly transferred to you.

Please keep in mind that your transaction may not be monitored or eligible for earning if certain conditions are not met. We cannot be held liable for the same under any circumstances. Further, HaulPack shall not be liable for discrepancies in earnings arising from third-party retailer policies, errors, or disputes.Retailers/Sellers determine whether a transaction is authentic or lawful by using their own set of standards. An earning would not be transferred if the store regarded the transaction to be non-genuine or illegitimate.

Earnings are contingent upon the successful tracking, validation, and payment of qualifying transactions by third-party retailers. HaulPack acts as an intermediary and cannot guarantee earnings for unverified transactions.

HaulPack will constantly make every attempt to recover non-payments and missing earnings from vendors. If you completed a legitimate transaction but did not get an earning, you may file a claim by contacting our customer service. We retain the right, however, to discontinue pursuing your earning claim at any time, and our decision shall be final in this respect.

It might be possible that you could receive less earnings than you expected. This occurs when the retailer/seller provides us with a sum less than his original claim. In this situation, you may submit a question, and we will pursue it with the store. However, we retain the right to close this inquiry claim if the shop does not pay within three months.

HaulPack may also forfeit earning in the following circumstances:

a. If the user is not signed in when using haulpack.com and we get an unattributed earning payment that is not connected with any user account.

b. If the earning is credited to an account that HaulPack terminates under Clause 4 or 11.

6. Unique Referral Fee:

HaulPack offers a unique referral program for its creators, allowing them to earn a 10% bonus on each new creator they refer (Qualifying Referral), provided they remain active Creators. Kindly note Referral bonuses are contingent upon the referred Creator's compliance with these Terms and their continued activity on the Platform. However, certain stores may not qualify for the 10% referral rate. For these stores, referral earnings might not apply or it could range between 1-9%. Additionally, referral earnings are capped at ₹  2,500 per referrer per month. For example, if you refer 10 creators, you can earn up to ₹  25,000 (₹  2,500 x 10) per month once they start earning on HaulPack.

Tax Obligations: Referral bonuses will be subject to tax deductions as per applicable Indian laws. Referrers are responsible for declaring their earnings to tax authorities.

Referral Fraud Prevention:Any attempt to create fake accounts, refer oneself using multiple accounts, or engage in any fraudulent activity will result in disqualification from the program and forfeiture of all referral bonuses.

HaulPack reserves the right to investigate referrals and withhold bonuses until verification is complete.

Referred Creator Requirements:Referred creators must use a unique referral link or code provided by HaulPack. They must not have an existing or previously terminated account with HaulPack.

Program Modifications:HaulPack reserves the right to modify, pause, or terminate the referral program at any time without prior notice. The lifetime earning claim (if applicable) may be subject to changes if HaulPack revises the program. Any changes will be communicated to participants via the registered email addresses.

Transfer of Bonuses:Referral bonuses are non-transferable and non-exchangeable. They can only be redeemed via the methods specified on HaulPack's platform.

Misuse of Referral Program:Referrers are prohibited from sharing their referral links in unauthorized manners (e.g., unsolicited or spam emails, comments on unrelated social media posts, or mass automated sharing).

Inactive Accounts:Referral bonuses will not be credited to referrers whose accounts are marked as inactive as per HaulPack's inactivity policy.

Dispute Resolution:In case of disputes regarding the referral program, HaulPack's decision will be final and binding.

7. Payments

After a creator successfully completes a qualifying transaction, they’re eligible for payments and they can request the payment.

Please note that there are various circumstances in which a transaction with a retailer may not constitute a qualifying transaction or earnings may not result from it. The creator understands that all transactions made by him/her are not with us, but with the individual retailer. Our help pages provide further information about these circumstances. Further, from time to time, retailers may increase or decrease the earnings paid – in which case, the earning offer illustrated on our platform may be incorrect. By default, your applicable transactions will be credited in line with the earnings reported to us by the retailer, which may be more or less than the advertised rate. We shall not be liable for any difference in the expected earning by the Creator and the actual earning received by them.

When we have traced a paying, qualifying transaction to your Account, we will credit your Account with a ‘pending’ status. Once the Retailer confirms the transaction, the payment will be marked as ‘validated’ – this can take 90 days or more from the date of the purchase. If the goods are returned or the sale reversed or amended by any means, then the earning payment will not be made. Apart from the Retailer, it is also mandatory for the creators to intimate HaulPack about any returns or exchanges for which they might have earned earnings unduly.

Whether a transaction shall qualify as a qualifying for earning transaction shall be at the sole discretion of the Retailer or us, and the Creator understands and agrees to the same. We shall not be held responsible if the Retailer fails to report a sale to us or does not qualify a transaction as a Qualifying Transaction. Further, we shall not be responsible in the event due to some technical or other error we cannot trace a sale back to the Creator and do not qualify the transaction as a Qualifying Transaction or a Qualifying Referral for any reason whatsoever. Whilst we will endeavor to recuperate non-payments from the Retailer, the decision of ourselves, the Retailer, or the Retailer’s tracking agent is final. Whilst we will try and recuperate missing earnings, at any point, we reserve the right not to chase missing earnings claims, particularly where no purchase has been made.

Further, if the Retailer feels that the purchase is not genuine for any reason whatsoever and we do not receive any earnings for the transaction, the Creator will not receive any earnings. HaulPack reserves the right to conduct audits and withhold payments for up to 90 days to verify referral activities.

We reserve the right to reclaim or make balance adjustments accordingly where it has been established that any credit has been applied in error. This will include but is not limited to transactions where the credit is not genuinely due or payment for any credited transaction has not been received from a Retailer or its agencies and/or misuse or fraud. This can include transactions that are already marked as payable or validated in your Account, or transactions that have already been paid over to you by NEFT or any other payment modes as We may introduce from time to time. In all such incidents, HaulPack has the right to recover all unduly paid earnings that the Creator is not entitled to earn, through legal proceedings.

8. Privacy Policy

Our Privacy Policy outlines what information we may collect about you, how we may use it, the options you have regarding its use, and whether we share it with anyone else. This document includes a Privacy Policy, and by using the Platform, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.

9. Copyright & Intellectual Property

HaulPack.com is copyright protected. All copyrights, trademarks, and intellectual property rights connected to HaulPack.com and its services are wholly owned by HaulPack.com. Without our permission, no one may duplicate, reproduce, or distribute any portion of this site, with or without alteration, or any data included within it. Our intellectual property, including but not limited to our name, logo, and Platform content, may not be used for commercial or non-commercial purposes without prior written consent.Any unauthorized use of HaulPack's trademarks, copyrights, or other intellectual property may result in legal action.

You grant us a nonexclusive right to use, reproduce, and distribute any material you post to HaulPack.com by doing so.

10. Our Role

Please keep in mind that you are dealing with individual retailers, not HaulPack.com.HaulPack is not a party to any transactions conducted through affiliate links and does not guarantee the availability, quality, or delivery of products or services offered by retailers. HaulPack is not connected in anyway with the transactions you conduct on any of the HaulPack.com retailer's websites. HaulPack.com just links you to the retailer's website and is thus exempt from any duty or legal duties imposed on the sellers of such products and services.

We're also free of any duty or control over:

- The quality, safety, and legality of the items and services supplied by HaulPack.com sellers.
- Whether or not the retailers can or will provide the products and services they advertise.
- You acknowledge that all claims, disputes, or issues relating to transactions must be addressed directly with the relevant retailer.

11. Unauthorized Use of our Website

In any event of unauthorized use of our website, we reserve the right to cancel any user account if it is discovered to be in violation of any of our Terms of Service.

Users shall not conduct or attempt to conduct any transaction with a store or obtain earnings by submitting erroneous or misleading information. Users must also avoid fraudulently or unjustly abusing shop offerings.

Tampering with the website, such as changing URLs, sharing illegal URLs, email cloaking, running automated scripts, or spidering sites, will result in the account's permanent suspension/termination. Any unauthorized use of the Platform, including attempts to bypass security measures, will result in immediate account termination and may result in legal action

HaulPack users are also required to ensure that any information submitted by him/her does not:

- Defamatory, derogatory, abusive, obscene, indecent, or malevolent.

- Contain any computer virus, macro virus, Trojan horse, worm, or anything else designed to interfere with, interrupt, or disrupt a computer's regular working routines or to intercept, access without authorization, or expropriate any system, data, or personal information.

- Infringe on the rights of any individual or organization.

- Promote/Advertise any products or services.

We would appreciate it if you could notify us if you come across anything on HaulPack.com that breaches the aforementioned criterion. Each user also recognizes that HaulPack has the right, but not the obligation, to delete any such information that violates the aforementioned criterion. The user will be held liable for any legal issues that develop due to the material he or she posts.

12. Liability

HaulPack.com shall be liable only as expressly specified in this agreement, and will be exempt from any other liability, duty, or obligation in contract, tort, or otherwise.

HaulPack will also not be liable to you or any other entity/person in relation to content given by users, transactions (or non-transactions) with vendor/retailer/store, or any activity or communication pertaining to such material or transactions. HaulPack's total liability shall not exceed the earnings legitimately accrued by the Creator and validated by HaulPack.

Users are exclusively responsible for preserving the secrecy of their passwords, and HaulPack cannot be held accountable for any password theft or the repercussions thereof. Under no circumstances shall HaulPack be liable for indirect, incidental, consequential, or punitive damages arising out of or related to your use of the Platform.

13. Indemnification

You agree to indemnify HaulPack.com against all liability, loss, claim, demand, damage or expense that may occur:

- Concerning the usage of HaulPack.com

- Any breach of the terms and conditions outlined in this document.

- Any purchase from a Store featured on HaulPack.com.

Though we take the greatest care and follow severe procedures to guarantee that the content on HaulPack.com is true and up to date, we accept no liability for any mistake or omission, or any damage resulting from the same. Further, You agree to cooperate fully with HaulPack in the defense of any claim arising from your breach of these Terms.

14. Modification of Terms and Conditions

We unilaterally retain the right, at our sole discretion, to amend the terms and conditions mentioned in this document and release a new one at any time. Users will be fully informed of any changes, and the revised Terms of Service will go into effect no later than 30 days.

15. Inactive Accounts

We have the right to close inactive accounts, so the redeemable or pending amount will get blocked. Accounts marked as "inactive" have had no activity during the previous 3 months. Check in to your account once every month and create collections and connect your videos/reels with your collections to avoid your account being tagged as inactive.

16. Miscellaneous

Failure to act on a breach of any term of this Agreement does not constitute a waiver of our right to enforce that provision later or any other aspect of this Agreement.

If any portion of this agreement is found to be invalid, the rest of the agreement will remain legal and enforceable.

17. Linking

Links to additional websites may be found on HaulPack.com. We are not responsible for any other website's practices or content. Since we are not responsible for the availability of these outside resources or their content, please read the terms of service and privacy policies that govern your use of such linked websites. You shall express any complaints regarding any other websites to the administrator of that site.

18. Termination of Program

We retain the right to end the Program in its entirety or in part at any time and without notice. In the event the Program is terminated, you will have 30 days to redeem your HaulPack earning from the date you get notified from HaulPack to the email address specified in your Account, provided to HaulPack during your registration with us. We shall not be liable if we fail to notify you of program termination due to an incorrect email address provided by you or you miss out on checking your emails.

19. Virus Disclaimer

We make every attempt to thoroughly review all of the information on HaulPack.com. However, we cannot be held liable for any loss or damage to your computer data that occurs while using HaulPack.com.

20. Law and Dispute Resolution

These terms shall be interpreted in accordance with and governed by the laws of India without regard to any conflict of laws principles.

Any dispute, controversy or claim arising out of or in connection with this agreement or related Transaction Documents shall be attempted to be first resolved through discussions between the Parties. If the dispute is not resolved through such discussions within a period of thirty (30) business days, after either Party has served a written notice on the other Party requesting the commencement of discussion. Then the dispute will be resolved and finally settled by arbitration in accordance with the substantive provisions of the (Indian) Arbitration and Conciliation Act, 1996 and the procedure shall be governed by Rules thereunder as for time being in force. The arbitral tribunal shall consist of sole (1) arbitrator, whereby either party seeking the appointment of arbitrator shall obtain the consent of the other in writing concerning the appointment. If no agreement is reached between the parties within fifteen (15) days, either party may approach the jurisdictional court seeking for appointment in accordance with the Arbitration Act and Rules thereunder. The Seat of arbitration shall be in Bengaluru, Karnataka, India. The language of the arbitral proceedings shall be English and all awards shall be in the English language. The Parties agree to submit to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India for such purpose.

21. FORCE MAJEURE

Neither Party shall be liable to other in case of delayed responses, performance, act or omission as contemplated in this Agreement by reason of any act of nature, epidemic, pandemic, war, terrorism, and change in law or any Government action or any other act of God affecting this agreement which could not have been prevented by the non-performing party’s reasonable precautions or commercially accepted processes. Each such incident shall be considered for the purposes of this agreement as Force Majeure. It shall be the duty of the non-performing party to inform the other party with regard to the existing force majeure on such occurrence as and when it is capable to do so. If the act of force majeure delays the performance of the non-performing Party for a period of Ninety (90) days, under such circumstances the party unaffected by the said incident may at its sole option terminate the agreement with immediate effect. Notwithstanding the conditions contained in this Cause a force majeure event shall not relieve the party of its liabilities and obligations if such non-performance of its obligations occurred prior to the force majeure incident.

22. Keeping of this Agreement

HaulPack.com will not submit an individual agreement for each and every user that registers. This agreement is available on our website. It is advised that you print or download a copy of this agreement to maintain on your personal computer.

23. Assignments

You may not delegate any of your rights, responsibilities, privileges, or performance under this Agreement without our prior written approval. You are the only one who can decide whether to participate in the Program. HaulPack earning earned through the Program may not be assigned or transferred to a third party unless HaulPack specifically authorizes it in writing. HaulPack earning may not be sold, transferred, lent, exchanged, pooled, or bartered by anybody other than HaulPack. Any HaulPack earning that is assigned, sold, or transferred in violation of these terms and conditions may be confiscated or cancelled.
